ELIGIBILITY:
The Burning the Midnight Oil Promotion and Sweepstakes (the “Offer”) applies only upon request by or offer to the Agency to Bookings made by an Associate of the Agency at a Participating Hotel noted below.
Not open to employees, officers or directors, or to members of the immediate family or household (whether related or not) of any employees, officers, or directors of Hilton Domestic Operating Company Inc. (“Sponsor”) or any of its parents, subsidiaries, affiliates, franchisees, or any advertising, promotion or other agencies or suppliers involved in this Promotion (collectively, the “Offer Entities”). Eligibility may be confirmed at any time and ineligible participants excluded. No transfer of Bookings allowed.
DEFINITIONS:
As used in this Offer, the following definitions apply:
“Agency” – For purposes of this Offer, is HelmsBriscoe.
“Associate” – For purposes of this Offer, is an employee or independent contractor of the Agency.
“Participating Hotel” – For purposes of this Offer, is a hotel operating within the Sponsor’s portfolio of hotels in the Americas that is managed by Sponsor or one of its affiliates and is described as a hotel participating in this Offer on an Offer flyer provided by the Sponsor to the Agency.
“Booking Contract” – A contract must be signed with the Participating Hotel and the Customer to govern the terms of the event or meeting.
“Bookings” – New business meetings or events booked by the Associate on behalf of the Customer at any time starting April 1, 2017 through December 15, 2017, where such Booking is actualized between April 1, 2017 and December 31, 2019 for groups of ten (10) or more room nights on peak. Bookings are “confirmed” when the Participating Hotel receives the signed event Booking Contract back from the Customer or the Agency (as applicable) and the Booking Contract is approved and countersigned by the Participating Hotel.
“Customer” – The legal entity designated in the Booking Contract as the “Group” or similar designation (i.e., the corporate or association customer hosting the meeting or event, not a third party meeting planner).
“Qualifying Lead” – A lead supplied by an Associate working for the Agency for potential new business meetings or events booked at any time starting April 1, 2017 through December 31, 2017, where such Booking would actualize between April 1, 2017 and December 31, 2019, for groups consisting of ten (10) or more room nights on peak.
All Bookings are subject to the Participating Hotel’s standard terms and conditions. Rates and event spaces are subject to availability. Blackout dates may apply at the Participating Hotel. Offer cannot be combined with any other promotions or discounts. Booking may not be made online. Offer not valid for events/meetings previously booked. Offer not valid for “city-wide” events (as such term is defined in the Participating Hotel’s local market). The Sponsor at its sole discretion will determine whether a lead is a Qualifying Lead.
Each Qualifying Lead that results in a signed Booking contract at the Participating Hotel results in the Associate being eligible to earn a Booking incentive. The incentive is as follows:
- 10 – 100 room nights $100 Amex Gift Card
- 101-500 room nights $250 Amex Gift Card
- 501+ room nights $500 Amex Gift Card
Each Qualifying Lead in a Reward Month (as detailed in the applicable flyer) qualifies for an Amex Gift Card worth twice the standard incentive (i.e., “2X” meaning $200, $500, or $1000 depending on room block size) or an Amex Gift Card worth three times the standard incentive (i.e., “3X” meaning $300, $750, or $1500 depending on room block size). View the “Availability Calendar” in the applicable flyer for information as to which months count as a Reward Month as well as the related multiplier value associated with that time period.
NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN THIS SWEEPSTAKES. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. VOID WHERE PROHIBITED.
SWEEPSTAKES PERIOD:
The Sweepstakes begins on April 1, 2017 at 12:01 a.m. Eastern Time (“ET”) and ends on December 15, 2017 at 11:59:59 p.m. ET (the “Sweepstakes Period”). The Sponsor’s database computer is the official time-keeping device for the Sweepstakes. By participating in the Sweepstakes, each entrant unconditionally accepts and agrees to comply with and abide by these Official Rules. Open only to Associates who are the age of majority in their respective jurisdiction of residence and responsible for finding Qualifying Leads and booking conference/meeting events, and who are an active (employed) Associate at the time of the drawing on New Year’’ Eve (i.e., on or about midnight on January 1, 2018).
HOW TO ENTER:
The Associate must submit a Booking lead directly to the applicable Participating Hotel. For Qualifying Leads that result in a signed Booking Contract, the Associate will receive one (1) grand prize raffle entry for every fifty (50) full revenue room nights booked (i.e., complimentary rooms and discounted rooms such as staff rooms do not count toward the 50 revenue room requirement).
The Associate earns DOUBLE (2X) or TRIPLE (3X) the number raffle entries by booking a Qualifying Lead in a corresponding 2X or 3X Rewards Month.
The Associate may be given the option to choose to receive promotional messages from the Sponsor; however, the Associate’s election to do so is optional and will not affect the Associate’s chances of winning.
Proof of submission of a potential Booking lead is not proof of receipt.

DRAWING AND WINNER NOTIFICATION:
The potential grand prize winners will be notified by telephone and/or mail and/or email using the contact information given at the time of entry. Sponsor shall have no liability for any winner notification that is lost, intercepted or not received by a potential winner for any reason. If a potential winner does not respond within five (5) days after the first notification attempt, or if the prize or prize notification is returned as unclaimed or undeliverable to such potential winner, such potential winner may be disqualified and an alternate winner may be selected. If any potential winner is found to be ineligible, or if he or she has not complied with these Official Rules or declines a prize for any reason prior to award, such potential winner will be disqualified and an alternate winner may be selected.
GRAND PRIZES/ODDS:
The following prize(s) is/are available:
- On or about midnight on January 1, 2018, Sponsor will randomly draw a grand prize winner from each of the four regions participating in this Offer: Northeast; Mid-Atlantic; Midwest; and Southwest & Puerto Rico.
- Each grand prize winner will be given an option of receiving a $5,000.00 cash award* OR One (1) Million Hilton Honors points.
- *Cash award to be given in the form of a corporate check issued in the name of the winner.
- Odds of winning depend on the number of eligible entries received.
GENERAL PRIZE CONDITIONS:
Winner is responsible for all federal, state and/or local taxes, and for any other fees or costs associated with acceptance or use of any grand prize or AMEX Gift Card incentive. Each potential winner may be required to execute an Affidavit of Eligibility, a Liability Release, and (where legal) a Publicity Release (collectively, “Prize Claim Documents”). If any eligible winner is not of legal age of majority in his or her state of residence (a “minor”), at Sponsor’s option, the applicable prize either may be awarded in the name of parent or legal guardian of winner, or parent or legal guardian of winner may be required to ratify and sign all Prize Claim Documents.
GENERAL PROVISIONS:
Acceptance of a grand prize constitutes winner’s permission for Sponsor to use winner’s name, photograph, likeness, voice, biographical information, statements and address (city and state) for advertising and/or publicity purposes worldwide and in all forms of media now known or hereafter developed, in perpetuity, without further compensation except where prohibited by law. Entrants agree that the Offer Entities (A) shall not be responsible or liable for, and are hereby released from, any and all costs, injuries, losses or damages of any kind, including, without limitation, death and bodily injury, due in whole or in part, directly or indirectly, to participation in the Sweepstakes or any Sweepstakes-related activity, or from entrants’ acceptance, receipt, possession and/or use or misuse of any grand prize, and (B) have not made any warranty, representation or guarantee express or implied, in fact or in law, with respect to any grand prize, including, without limitation, to such grand prize’s quality or fitness for a particular purpose.
Sponsor has no responsibility for any damage to an entrant’s computer system which is occasioned by submitting a Qualifying Lead to the Participating Hotel, or for any computer system, phone line, hardware, software or program malfunctions, or other errors, failures or delays. Without limiting the generality of the foregoing, Sponsor is not responsible for incomplete, illegible, misdirected, misprinted, late, lost, damaged, stolen, or postage-due submissions or prize notifications; or for lost, interrupted, inaccessible or unavailable networks, servers, satellites, Internet service providers, websites, or other connections; or for miscommunications, failed, jumbled, scrambled, delayed, or misdirected computer, telephone or cable transmissions; or for any technical malfunctions, failures, difficulties or other errors of any kind or nature; or for the incorrect or inaccurate capture of information, or the failure to capture any information.
Sponsor reserves the right in its sole discretion to disqualify any individual who is found to be tampering with the entry process or the operation of the Sweepstakes or the Website, to be acting in violation of these Official Rules, or to be acting in an unsportsmanlike or disruptive manner, or with the intent to disrupt or undermine the legitimate operation of the Sweepstakes, or to annoy, abuse, threaten or harass any other person, and Sponsor reserves the right to seek damages and other remedies from any such person to the fullest extent permitted by law. No mechanically reproduced, illegible, incomplete, forged, software-generated or other automated multiple entries will be accepted.
In the event of a dispute as to the identity of the entrant, any on-line entry will be deemed submitted by the authorized account holder of the e-mail account from which it was sent, provided such account holder must still meet the eligibility requirements for the Sweepstakes. The authorized account holder shall be the natural person to whom the applicable email address has been assigned by the Internet access provider, service provider, or other online organization responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address.
Sponsor reserves the right to modify, extend, suspend, or terminate the Sweepstakes, in whole or in part, if it determines, in its sole discretion, that the Sweepstakes is technically impaired or corrupted or that fraud or technical problems, failures or malfunctions or other unintended circumstances have impaired the integrity, administration, security, proper play and/or feasibility of the Sweepstakes as contemplated herein. If the Sweepstakes is terminated before the designated end date, Sponsor will (if possible) select winner(s) in a random drawing from all eligible, non-suspect entries unaffected by the problem. Inclusion in such drawing shall be each entrant’s sole and exclusive remedy in such circumstances.
Only the type and quantity of prizes described in these Official Rules will be awarded. If, for any reason, more bona fide winners come forward seeking to claim prizes in excess of the number of each type of prize set forth in these Official Rules, the winners, or remaining winners, as the case may be, of the advertised number of prizes available in the prize category in question may be selected in a random drawing from among all persons making purportedly valid claims for such prize(s). Inclusion in such drawing shall be each entrant’s sole and exclusive remedy in such circumstances.
By entering the Sweepstakes, you further agree that (i) any disputes, claims, and causes of action arising out of or in connection with the Sweepstakes, or any prize awarded, shall be resolved individually without resort to any form of class action; (ii) any claims, judgments and awards shall be limited to reasonable and actual out-of-pocket costs incurred, including costs associated with entering the Sweepstakes, but in no event attorney’s fees; and (iii) under no circumstances will any entrant be permitted to obtain any award for, and entrant hereby waives all rights to claim, punitive, incidental, indirect or consequential damages and any and all rights to have damages multiplied or otherwise increased and any other damages, other than damages for reasonable and actual out-of-pocket expenses. These rules and any disputes relating hereto are governed by the internal laws of the State of Virginia without regard to principles of conflicts of laws, and by entering you consent to the exclusive jurisdiction of the state and federal courts in Fairfax County, Virginia or resolution of any disputes relating to the Sweepstakes and waive any objection thereto.
